Affiliate Program Terms & Conditions

2.1 Geographic Restriction. The Program is currently available only to individuals and entities that are legal residents of, or organized under the laws of, the United States of America. We may expand eligibility to additional jurisdictions at our sole discretion.

2.2 Application Process. Prospective Affiliates must submit an application through the Platform, including a completed IRS Form W-9, a valid website or social media presence, and a description of their intended promotional methods. We reserve the right to approve or reject any application at our sole discretion without obligation to provide a reason.

2.3 Resubmission. If your application is rejected, you may address the feedback provided and resubmit your application. Resubmission does not guarantee approval.

2.4 Tax Compliance. All Affiliates must provide a valid, signed IRS Form W-9 prior to receiving any commission payments. You are solely responsible for reporting and paying all applicable federal, state, and local taxes on commissions earned. We will issue IRS Form 1099-NEC for commissions totaling $600 or more in a calendar year, as required by law.

3.1 Commission Tiers. Commissions are calculated as a percentage of the referred subscriber's monthly subscription payment. The commission rate is determined by the Affiliate's tier:

3.2 Recurring Commissions. Commissions are recurring, meaning you earn a commission each month that a referred subscriber maintains an active, paid subscription. If a subscriber cancels, downgrades to a free plan, or their payment fails, commissions for that subscriber will cease.

3.3 Commission Calculation. Commissions are calculated on the net subscription amount after any discounts, promotions, or refunds. Commissions are not earned on free trials, promotional credits, or refunded transactions.

3.4 Tier Adjustments. We reserve the right to adjust commission tiers, rates, and qualification thresholds at any time with 30 days' written notice to active Affiliates. Changes will apply prospectively and will not affect commissions already earned.

4.1 Referral Links. Each Affiliate is assigned a unique referral link and referral code. Referrals are tracked via browser cookies with a 30-day attribution window. If a referred visitor signs up and subscribes within 30 days of clicking your referral link, the conversion is attributed to you.

4.2 Last-Click Attribution. We use a last-click attribution model. If a visitor clicks multiple affiliate links, the commission is attributed to the last Affiliate whose link was clicked before the conversion.

4.3 Self-Referrals. Affiliates may not use their own referral links to earn commissions on their own subscriptions. Self-referrals will be voided and may result in account suspension.

5.1 Minimum Payout Threshold. The minimum payout threshold is $25.00 USD. Affiliates may request a payout once their pending balance meets or exceeds this threshold. Balances below the minimum threshold will carry forward to the next payout period.

5.2 Payout Schedule. Payouts are processed on a monthly basis. Once a payout request is submitted, we will process the payment within 5-7 business days. We reserve the right to hold payouts for up to 30 days to account for potential refunds or chargebacks.

5.3 Payment Methods. Payouts are currently processed via PayPal. Affiliates must provide a valid PayPal email address in their profile. We may add additional payment methods in the future.

5.4 Currency. All commissions and payouts are denominated in United States Dollars (USD). Any currency conversion fees are the responsibility of the Affiliate.

5.5 Disputed Payouts. If you believe a payout is incorrect, you must notify us within 30 days of the payout date. We will investigate and resolve disputes in good faith.

6.1 Permitted Activities. Affiliates may promote Apex Trade Lab through their personal websites, blogs, social media accounts, email newsletters (to opt-in subscribers only), YouTube channels, podcasts, and other legitimate marketing channels.

6.2 Prohibited Activities. The following promotional methods are strictly prohibited and may result in immediate termination:

• Spam emails, unsolicited messages, or bulk messaging of any kind
• Paid search ads bidding on "Apex Trade Lab", "BoolScript", or related branded terms
• Cookie stuffing, click fraud, or any form of artificial traffic generation
• Misleading claims about the Platform's features, performance, or guaranteed trading results
• Impersonating Apex Trade Lab, its employees, or its representatives
• Promoting on websites containing illegal, adult, violent, or hateful content
• Using coupon or deal sites without prior written approval
• Any activity that violates applicable laws, regulations, or third-party terms of service

6.3 FTC Compliance. Affiliates must comply with the Federal Trade Commission's (FTC) Endorsement Guides. You must clearly and conspicuously disclose your affiliate relationship with Apex Trade Lab in all promotional content. Example disclosure: "I may earn a commission if you sign up through my link."

6.4 Financial Disclaimers. Affiliates must not make any claims that suggest guaranteed trading profits or investment returns. All promotional content must include appropriate risk disclaimers consistent with financial services marketing regulations.

7.1 Limited License. We grant Affiliates a limited, non-exclusive, non-transferable, revocable license to use the Apex Trade Lab name, logo, and approved marketing materials solely for the purpose of promoting the Platform under this Agreement.

7.2 Restrictions. Affiliates may not modify, alter, or create derivative works from our trademarks or marketing materials without prior written consent. All use of our intellectual property must comply with our brand guidelines.

8.1 Termination by Affiliate. You may terminate your participation in the Program at any time by contacting us at [email protected]. Pending commissions above the minimum payout threshold will be paid out within 30 days of termination. Balances below the threshold will be forfeited.

8.2 Termination by Company. We may suspend or terminate your participation at any time, with or without cause, upon written notice. Grounds for immediate termination include, but are not limited to:

• Violation of any provision of this Agreement
• Fraudulent or deceptive activity
• Inactivity for more than 12 consecutive months
• Failure to maintain a valid W-9 on file
• Conduct that damages the reputation of Apex Trade Lab

8.3 Effect of Termination. Upon termination, all rights granted under this Agreement immediately cease. You must remove all affiliate links, marketing materials, and references to the Program from your properties within 5 business days.

9.1 No Guarantees. We do not guarantee any level of commission earnings. Your success as an Affiliate depends on your own promotional efforts, audience, and market conditions.

9.2 Liability Cap. In no event shall our total liability to you under this Agreement exceed the total commissions paid to you in the 12 months preceding the claim.

9.3 Indemnification. You agree to indemnify and hold harmless BoolScript LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your promotional activities or violation of this Agreement.

11.1 Data Collection. We collect and process personal information from Affiliates as described in our Privacy Policy. This includes your name, email, website URL, PayPal email, W-9 information, and referral performance data.

11.2 Confidentiality. Commission rates, referral data, and internal Program details are confidential. Affiliates may not disclose this information to third parties without our prior written consent.
